Author Publishing Agreement

Poetic Essence Publications

Effective Date: 1 January 2025

This Author Publishing Agreement (“Agreement”) is entered into between:

Poetic Essence Publications,
101, Chelsea Building, Hiranandani Estate, Patlipada,
Thane West – 400607, Maharashtra, India
(Hereinafter referred to as the “Publisher”)

AND

The individual or entity submitting literary work for publication
(Hereinafter referred to as the “Author”)

1. Purpose of Agreement

This Agreement defines the terms under which the Author grants Poetic Essence Publications the right to publish, distribute, and promote the Author’s submitted work (“Work”) in agreed formats.

2. Ownership & Copyright

  • The Author retains full copyright ownership of the Work at all times.
  • This Agreement does not transfer ownership of copyright to the Publisher.
  • All moral rights remain with the Author.

3. Grant of Rights

The Author grants the Publisher a non-exclusive, worldwide, royalty-free license to:

  • Publish, print, distribute, and sell the Work
  • Create digital, print, and promotional versions
  • Use excerpts for marketing, previews, and publicity

This license is granted only for the duration and scope of services agreed.

4. Formats of Publication

The Work may be published in one or more of the following formats, as agreed:

  • Paperback / Hardcover
  • eBook
  • Anthologies
  • Online platforms
  • Promotional material

Format selection shall be mutually decided.

5. Author Warranties & Responsibilities

The Author confirms that:

  • The Work is original and created by the Author
  • The Author owns all rights or has lawful permission to submit the Work
  • The Work does not infringe copyright, trademark, privacy, or other rights
  • The Work is not defamatory, obscene, or unlawful

The Author shall be solely responsible for any legal claims arising from the Work.

6. Editorial & Production Rights

  • The Publisher may suggest edits for grammar, formatting, or layout
  • Content edits shall be made only with Author approval, except minor typographical corrections
  • Final approval of the manuscript shall rest with the Author before publication

7. Royalties & Revenue (If Applicable)

  • Royalty structure, if any, shall be clearly communicated in writing
  • Royalties are calculated after deduction of printing, platform, and distribution costs
  • No minimum sales or income is guaranteed

If the project is author-paid publishing, no royalties are applicable unless stated otherwise.

8. Author Copies

  • Complimentary author copies, if provided, will be specified in writing
  • Additional copies may be purchased at discounted author rates

9. Payments & Fees

  • Publishing fees, if applicable, must be paid in advance
  • Fees once paid are non-refundable, except where explicitly agreed
  • All taxes shall be borne by the Author

10. Promotion & Marketing

  • Promotional activities are undertaken on a best-effort basis
  • Publisher does not guarantee sales, rankings, reviews, or awards
  • Author agrees to cooperate in promotional efforts when required

11. Term & Termination

Term

This Agreement remains valid for the agreed publishing period unless terminated earlier.

Termination

  • Either party may terminate with written notice
  • Termination does not affect completed services or incurred costs
  • Published copies already in circulation shall not be withdrawn

12. Limitation of Liability

The Publisher shall not be liable for:

  • Loss of sales, profits, or reputation
  • Third-party platform actions or policy changes
  • Market performance of the Work

Maximum liability shall not exceed the amount paid by the Author.

13. Confidentiality

Both parties agree to maintain confidentiality of:

  • Financial terms
  • Manuscripts (prior to publication)
  • Business processes

14. Force Majeure

Neither party shall be liable for delays caused by events beyond reasonable control including natural disasters, government actions, or technical failures.

15. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of India.
Any disputes shall be subject to the exclusive jurisdiction of courts in Thane, Maharashtra.

16. Entire Agreement

This Agreement constitutes the complete understanding between the Author and the Publisher and supersedes all prior discussions.
